Welcome to SmartCues.ai. By using our platform, you agree to these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By accessing or using SmartCues.ai, including the web app at app.smartcues.ai and the SmartCues desktop app, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our platform.

2. What SmartCues.ai Does

SmartCues.ai is a live meeting tracker. While a call runs, it transcribes the conversation and keeps a live list of the agenda, questions, decisions and action items, next to a notepad for your own notes. After the call it can write a summary specific to the kind of meeting and a follow-up email draft, and, if you choose, share them through a link or send them to a connected CRM.

SmartCues.ai does not join your call and does not add a bot or any visible participant. It listens through your own microphone and the audio of your own computer, in your browser or in the desktop app. Because nothing in the call shows that it is running, you are responsible for telling the other participants, as described in Section 3.

3. Telling Others and Recording Laws

Laws about recording and transcribing conversations differ by country and state, and some require the consent of everyone on the call. You are solely responsible for knowing the rules that apply to you and for complying with them.

Before a call is transcribed, SmartCues.ai asks you to tell the other participants. It offers a line you can add to the calendar invite, a message to paste into the meeting chat, and a short script to say aloud, or you can confirm that no one else is on the call. SmartCues.ai records which method you say you used and when. It cannot see whether a guest read the invite or heard the script, and it does not verify that you obtained anyone's consent. You agree not to use SmartCues.ai to transcribe a conversation where you have not met your legal obligations to the people in it.

4. Use of the Platform

Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your company, if you use SmartCues.ai for work.

Acceptable Use

You agree to use SmartCues.ai only for lawful purposes. You may not:

  • Violate any laws or regulations, including those on recording and privacy
  • Transcribe a conversation without meeting your obligation to tell the other participants
  • Infringe on others' intellectual property rights
  • Use the platform to harass, abuse, deceive, or harm others
  • Share a summary or transcript link with people who are not entitled to see its contents
  • Attempt to hack, reverse engineer, or compromise our systems
  • Use automated tools (bots, scrapers) without permission

5. Account Responsibilities

You sign in with a Google or Microsoft account. You are responsible for keeping that account secure and for all activity that occurs under your SmartCues.ai account.

6. Your Content and Your Choices

You retain ownership of your content: your transcripts, notes, tracked items, summaries, email drafts, and call metadata. You grant us a limited license to process that content only to provide the service to you.

  • You choose where your audio, transcripts and summaries are kept: on your computer, in your account, or not at all. By default, the desktop app transcribes on your computer and keeps the recording only on your computer; audio does not pass through our servers while a call runs. Audio is stored on our servers only if you choose to keep it in your account, and then only you can play it. If you use cloud transcription, audio goes from your device to the transcription provider. An optional cloud refinement setting, if you turn it on, sends audio for processing and deletes it afterwards. Things you choose to keep only on your device are not backed up by us and are lost if you uninstall the app or clear your browser data.
  • Retention is yours to set. Transcripts kept in your account are deleted a set time after the call ends: 7, 30, 90 (the default) or 365 days, or never. When a transcript is deleted, your summary, lists, and notes are kept. If you choose not to keep a transcript or a summary, it is deleted when you close it, after a reminder, and you can save a copy by hand first.
  • We do not train on your content. We do not use your content to train any model. The language models that read your transcripts are reached only through routing that allows zero-data-retention, no-training providers. The one exception is the decision-detection service described in our Privacy Policy, which does not train on your content but may keep the short excerpts it receives.
  • Sharing is opt-in. A share link shows only what you select, can expire, and can be revoked at any time. Private items such as your notes, scores, and coaching are not shared unless the feature says so.
  • Once you send content elsewhere, it is out of our hands. Anything you copy, email, send to a CRM, or share by link is subject to the rules of the place it went. Deleting a session in SmartCues.ai does not remove what was already sent.

7. AI-Generated Output

Transcripts, tracked items, summaries, ratings, and email drafts are produced automatically and can be incomplete or wrong. This includes mistakes in what was said, who said it, and who owns an action item. Review the output before you rely on it, send it to anyone, or put it in a record. You are responsible for what you send or share.

8. Third-Party Services

SmartCues.ai works with services you choose to connect, such as Google or Microsoft for sign-in and calendar, and a CRM. We also rely on providers for hosting, transcription, and AI processing. Your use of a connected service is also subject to that service's own terms. We are not responsible for third-party services, or for changes to them that affect SmartCues.ai. You can disconnect a service at any time.

9. Fees and Billing

SmartCues.ai is currently free during our launch phase, and we do not collect payment information. We may introduce paid plans later. If we do, we will give you advance notice and a reasonable transition period before any charge, and you will not be charged unless you agree to a paid plan.

10. Intellectual Property

SmartCues.ai and all of its software, content, features, and functionality, other than your content, are owned by SmartCues.ai and are protected by copyright, trademark, and other intellectual property laws.

11. Termination

You may stop using SmartCues.ai at any time. You can delete a session, or your entire account and its data, from within the app. Deleting your account removes your sessions, transcripts, notes, calendar connections, and sign-in links from our systems, and it cannot be undone.

We may suspend or terminate your access if you violate these Terms, if we are required to by law, or if we stop offering the service. If we end your access for any other reason, we will give you reasonable notice and time to export your content where we can.

12. Disclaimers

SmartCues.ai is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the platform will be error-free or uninterrupted, or that transcripts and summaries will be accurate. SmartCues.ai is not legal advice, and it does not make a call lawful to transcribe.

13. Limitation of Liability

To the maximum extent permitted by law, SmartCues.ai shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the platform, including any claim from a person on a call you transcribed.

14. Changes to These Terms

We may update these Terms from time to time, and the date at the top shows when they last changed. We'll notify you of any material changes. Continued use of the platform after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws provisions.
